Position Description

As part of the dynamic environment in the Legal Department of a growing publicly traded Fortune 500 healthcare company, provide paralegal support to the Securities, Corporate Governance & Finance group. The focus will be on handling a broad array of subsidiary corporate governance and entity management matters.


  • Maintain electronic database of corporate information for more than 1,000+ subsidiaries
  • Manage fictitious business name (d/b/a) database and coordinate filing of applications
  • Handle internal and external requests for corporate entity formation, qualifications to do business, withdrawals, dissolutions, mergers, conversions, legal name changes, etc.
  • Maintain minute books and other corporate records
  • Handle requests for good standings, lien searches, production of documents, etc.
  • Assist with drafting intercompany subsidiary contracts, intercompany notes, intercompany bills of transfers, and other legal documents as requested
  • Prepare subsidiary resolutions, minutes, stock certificates and related transfers, officer certificates and related corporate documents
  • Prepare/file with Secretary of State of different jurisdictions annual reports and renewals

  • Strong interpersonal and communication skills, both written and oral
  • Able to work effectively with a wide variety of internal and external parties 
  • Working knowledge of various corporate legal entity structures and governance 
  • Able to use a variety of basic programs such as Microsoft Word, PowerPoint, Excel and Outlook
  • Knowledge of entity management systems such as those offered by Corporation Services Company (CSC) or Wolters Kluwer (CT Corporation), as well as Microsoft SharePoint and Visio, and HP WorkSite, would be a plus
  • Any knowledge of the matters covered below under “Core Job Duties” would be a plus


  • Bachelor’s degree (BA or BS) required 
  • Paralegal Certificate from ABA-accredited program highly preferred 
  • Prior experience in a law firm or in-house legal department is required; 2 – 6 years ideally, but will consider more or less experience depending on other factors
